Terms of service

These Terms of Service ("Terms") are a binding agreement between you and Republic Clothing Apparel Inc., d/b/a JANE + MERCER ("JANE + MERCER," "we," "us," or "our"). They govern your access to and use of janeandmercer.com and any other website, digital feature, retail program, or service that links to these Terms (collectively, the "Services").

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services. Additional terms may apply to particular promotions, purchases, programs, or features. If additional terms conflict with these Terms, the additional terms control for that subject.

1. Eligibility and accounts

You must be legally capable of entering into a binding contract to use the Services. If you use the Services on behalf of a company or other entity, you represent that you have authority to bind that entity.

If account functionality is available, you must provide accurate information, maintain the confidentiality of your credentials, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account to the extent permitted by law.

2. Service availability and informational content

The Services and their features may change from time to time. Some online purchasing, account, or other functions may be unavailable, paused, limited by location, or introduced later. If online purchasing is unavailable, product and editorial displays are informational only and do not constitute an offer to sell.

We try to present accurate, useful information, but product descriptions, images, colors, sizing, availability, pricing, store hours, events, and other content may contain errors or change without notice. Display settings can affect how colors and images appear.

3. Products, pricing, and orders

If purchase functionality is offered online or through another Service, all products and orders are subject to availability and acceptance. We may limit quantities, reject or cancel an order, correct errors, or discontinue products or offers, subject to applicable law. An order confirmation acknowledges receipt and does not necessarily mean that we have accepted the order.

Prices, promotions, and availability may differ between the website and retail stores unless expressly stated. Taxes, shipping, and other charges may apply and will be disclosed as required. You represent that payment information you provide is accurate and that you are authorized to use the selected payment method.

4. Shipping, returns, promotions, and gift cards

When offered, shipping, returns, exchanges, promotions, contests, sweepstakes, gift cards, and similar programs are subject to the policies or official rules presented with them. Please review the applicable terms before participating or completing a transaction. If a separate policy conflicts with these Terms, the separate policy controls for that subject.

5. Marketing communications

You may receive marketing emails only as permitted by law and may unsubscribe using the link in an email. If you enroll in our text-messaging program, the SMS Terms and Conditions also apply. Consent to marketing is not a condition of purchase.

6. Privacy

Our Privacy Policy explains how we collect, use, disclose, and otherwise process personal information. Please review it carefully.

7. Ownership and limited license

The Services, including their design, text, graphics, photographs, video, audio, software, trademarks, logos, product names, and other content, are owned by or licensed to JANE + MERCER and are protected by intellectual-property laws.

Subject to these Terms, we grant you a limited, personal, revocable, nonexclusive, nontransferable license to access and use the Services for lawful, noncommercial purposes. No right is granted except as expressly stated.

8. User content and feedback

If the Services allow you to submit reviews, photographs, comments, or other content ("User Content"), you retain ownership of your User Content. You grant us a worldwide, nonexclusive, royalty-free, sublicensable, transferable license to host, reproduce, adapt, publish, display, distribute, and otherwise use User Content in connection with operating, improving, promoting, and providing the Services and our business, subject to applicable law and our Privacy Policy.

You represent that you own or control the necessary rights and that your User Content does not violate law, these Terms, or another person’s rights. We may remove or decline to use User Content. Feedback and suggestions may be used without restriction or compensation.

9. Prohibited conduct

You may not, and may not assist another person to:

  • Use the Services for unlawful, fraudulent, deceptive, harassing, abusive, or harmful purposes.
  • Violate intellectual-property, privacy, publicity, confidentiality, or other rights.
  • Introduce malware, bypass security, probe vulnerabilities, interfere with operation, or gain unauthorized access.
  • Use bots, scrapers, crawlers, data-mining tools, or automated means to access or extract content except as permitted by us in writing or by applicable law.
  • Reverse engineer, decompile, disassemble, copy, modify, distribute, sell, sublicense, or commercially exploit the Services except as permitted by law.
  • Impersonate another person, misrepresent affiliation, submit false information, or use another person’s account or payment method without authorization.
  • Use the Services in a way that burdens, disrupts, or damages the Services or another person’s use of them.

The Services may link to or interoperate with third-party websites, applications, social platforms, payment services, or other services. We do not control and are not responsible for third-party content, terms, privacy practices, availability, or security. Your dealings with third parties are between you and the third party.

11. Accessibility

We aim to provide an accessible experience. If you have difficulty accessing the Services or need assistance, please email customerservice@janeandmercer.com or call (475) 999-8376 and describe the feature or content at issue and the format you need. We will make reasonable efforts to provide the requested information or assistance in an accessible alternative format.

12. Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND ALL CONTENT, PRODUCTS, AND FEATURES MADE AVAILABLE THROUGH THEM ARE PROVIDED "AS IS" AND "AS AVAILABLE." JANE + MERCER AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, JANE + MERCER AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY; OR DAMAGES ARISING FROM YOUR RELIANCE ON OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF THE JANE + MERCER PARTIES FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID TO JANE + MERCER THROUGH THE APPLICABLE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These limitations do not apply to liability that cannot be excluded or limited under applicable law, including where applicable liability for fraud, willful misconduct, or personal injury caused by negligence.

14. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless JANE + MERCER and its affiliates, officers, directors, employees, agents, licensors, and service providers from claims, liabilities, damages, judgments, losses, and reasonable costs arising from your unlawful use of the Services, your User Content, or your material breach of these Terms. This provision does not require indemnification for our own unlawful conduct.

15. Suspension and termination

We may suspend, restrict, or terminate access to all or part of the Services if we reasonably believe you violated these Terms, created risk or potential legal exposure, or disrupted the Services. We may also modify or discontinue the Services, subject to applicable law. Provisions that by their nature should survive will survive termination.

16. Governing law and venue

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Subject to any mandatory consumer-protection rights that apply where you live, you and JANE + MERCER agree that claims arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in New York County, New York, and each party consents to personal jurisdiction and venue there.

17. Changes to these Terms

We may update these Terms from time to time. We will post the revised Terms and update the "Last updated" date. We will provide additional notice when required by law. Changes apply prospectively from their effective date.

18. General terms

These Terms and any incorporated additional terms are the entire agreement between you and JANE + MERCER regarding the Services. If a provision is unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain in effect. A waiver must be in writing and is not a continuing waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, merger, sale, or transfer of our business or assets. Headings are for convenience only.
